Terms of Service

1. Acceptance of Terms

By accessing or using the Elba platform at useelba.com (“the Service”), operated by Elba Technologies, Inc. (“Elba,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Elba is a documentation platform that generates structured, machine-readable API specifications (AgentSpecs) designed for AI agents. The Service includes spec generation, hosting, publishing, discovery endpoints (agent.json, MCP configs, llms.txt), an agent registry, analytics, and embeddable widgets.

3. Accounts

You must create an account to use certain features of the Service. You are responsible for maintaining the security of your account credentials and for all activity under your account.

You must provide accurate information when creating your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Free Service

Elba is currently offered free of charge. We reserve the right to introduce paid features or plans in the future. If we do, we will provide advance notice and existing free features will remain available or a reasonable migration path will be provided.

5. Your Content

You retain ownership of the API specifications, documentation, and other content you create on the platform (“Your Content”). By publishing content on Elba, you grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and make available Your Content through the Service, including via agent discovery endpoints, the registry, and search APIs.

You are solely responsible for Your Content. You represent that you have all necessary rights to the content you upload and that it does not infringe any third-party rights.

6. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Publish content that is fraudulent, misleading, or deceptive
  • Upload malicious code, malware, or content designed to harm systems or users
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Scrape, crawl, or harvest data from the Service in a manner that degrades performance for other users
  • Use the Service to create specs for illegal services or activities

7. Subdomains

Published specs may be assigned a subdomain (e.g., yourco.useelba.com). Subdomains are provided on a first-come, first-served basis. We reserve the right to reclaim subdomains that are inactive, misleading, or infringe on trademarks.

8. AI-Generated Content

The Service uses AI models (including OpenAI) to generate AgentSpecs from your input. AI-generated content may contain inaccuracies. You are responsible for reviewing and verifying all generated content before publishing. We do not guarantee the accuracy, completeness, or fitness of AI-generated output.

9. Agent Discovery and Access

Published specs are designed to be discovered and consumed by AI agents and automated systems. By publishing a spec, you acknowledge and consent to AI agents accessing, parsing, and acting on the information in your published documentation through the Service's discovery endpoints.

10. Intellectual Property

The Service, including its design, code, features, and branding, is owned by Elba Technologies, Inc. and protected by intellectual property laws. Nothing in these Terms grants you rights to use our trademarks, logos, or brand assets without prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELBA TECHNOLOGIES, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our discretion. You may stop using the Service at any time. Upon termination, your right to use the Service ceases, but provisions that by their nature should survive will remain in effect.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
